Terms of Sale

These Terms of Sale govern the purchase of OKTET hardware and related services. By placing an order, you agree to these terms. Where a separate signed agreement exists between you and OKTET, that agreement controls to the extent it conflicts with these terms.

Orders and Acceptance

A quote or order confirmation is an invitation to purchase, not a binding contract, until we accept your order and the product ships. We may decline or cancel an order — for example, where a product is unavailable, a pricing error has occurred, or we cannot verify the order — and if we do, we will refund any amount you have paid for the cancelled items.

Pricing and Payment

Prices are quoted exclusive of taxes, duties, and shipping unless stated otherwise, and are valid for the period shown on the quote. We reserve the right to correct pricing errors before shipment. Payment terms are as stated on your invoice; for approved business accounts, net terms may apply. Title to the hardware passes to you on full payment; risk of loss passes on delivery to the carrier.

Shipping and Delivery

We will ship to the address you provide using a commercially reasonable carrier. Delivery dates are estimates, not guarantees, and we are not liable for delays outside our reasonable control. You are responsible for inspecting shipments on arrival and reporting visible transit damage to us and the carrier within a reasonable time.

Returns

Unopened, undamaged products in original packaging may be returned within 30 days of delivery for a refund, less any restocking fee stated at the time of sale and less original shipping. Custom-configured or special-order items may be non-returnable. Defective products are handled under our warranty terms, not this return policy. Contact us before returning any item so we can issue a return authorization.

Limitation of Liability

To the fullest extent permitted by law, OKTET’s total liability arising out of or related to any order will not exceed the amount you paid for the products giving rise to the claim. We are not liable for indirect, incidental, special, or consequential damages, including lost profits, lost data, or business interruption, even if advised of the possibility. Nothing in these terms limits liability that cannot be limited under applicable law.

Compliance and Export

You agree to use the products in compliance with all applicable laws, including export-control and sanctions regulations, and not to export or re-export them in violation of those laws.

Governing Law

These terms are governed by the laws of the jurisdiction in which OKTET is established, without regard to conflict-of-laws principles. Any dispute will be brought in the courts of that jurisdiction, unless a separate agreement specifies otherwise.

Changes

We may revise these terms from time to time. The version in effect when you place your order applies to that order. The “updated” date above reflects the current version.
