Terms of Service

By accessing or using KAIRO's Services, you agree to be bound by these Terms and our Privacy Policy. If you are using the Services on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

If you do not agree to these Terms, you may not access or use the Services. These Terms supersede any prior agreements or understandings regarding the same subject matter.

We may revise these Terms from time to time. If we make material changes, we will notify you by email or through the platform at least 14 days before the changes take effect. Continued use of the Services after that date constitutes acceptance of the updated Terms.

KAIRO provides an AI workflow automation platform that allows users to create, configure, and deploy AI agents, build multi-step automations, and connect to third-party data sources and services via our API and web application.

The Services are provided on a subscription basis. Features available to you depend on your subscription tier (Explore, Pro, or Enterprise). KAIRO reserves the right to modify, suspend, or discontinue any part of the Services with reasonable notice, except where immediate action is required to protect the security or integrity of the platform.

We make no warranty that the Services will be uninterrupted or error-free. Our uptime commitments are specified in Section 9 (Service Level Agreement).

You must provide accurate and complete registration information and keep your account information up to date. You are responsible for maintaining the security of your account credentials, including API keys.

You may not share your account with other individuals or organizations. Each account is licensed to a single person or a single legal entity. Team plans allow multiple users under a single organization account.

You must notify us immediately at security@kairo.dev if you discover any unauthorized use of your account or any other security breach. KAIRO is not liable for any loss or damage arising from your failure to maintain the security of your account.

You agree to use the Services only for lawful purposes and in accordance with these Terms. You must not use the Services to:

• Engage in or facilitate any activity that is illegal under applicable law, including violations of data protection, privacy, export control, or intellectual property laws.
• Harass, abuse, threaten, defame, or discriminate against any individual or group.
• Attempt to reverse-engineer, decompile, disassemble, or otherwise derive source code from KAIRO's AI models, proprietary algorithms, or platform software.
• Abuse API rate limits by intentionally circumventing throttling mechanisms, using multiple accounts to increase effective limits, or creating load that degrades service for other users.
• Generate, distribute, or facilitate the distribution of spam, phishing content, or other forms of unsolicited communication.
• Introduce malware, viruses, or other malicious code into the platform or connected systems.
• Attempt to gain unauthorized access to KAIRO systems, other customer accounts, or any network or system connected to our Services.
• Use the Services to build a product or service that competes directly with KAIRO without prior written consent.

Violations of this policy may result in immediate account suspension or termination without refund. We reserve the right to investigate suspected violations and cooperate with law enforcement as required.

Plans. KAIRO offers tiered subscription plans (Explore, Pro, Enterprise) as described on our Pricing page. Pricing is in US dollars and excludes applicable taxes.

Auto-renewal. Paid subscriptions automatically renew at the end of each billing period (monthly or annual) unless you cancel before the renewal date. You will be charged using the payment method on file.

Upgrades and downgrades. You may upgrade your plan at any time; the price difference will be prorated immediately. Downgrades take effect at the start of the next billing cycle and do not generate refunds for the current period.

Refund policy. Monthly subscriptions are non-refundable. Annual subscriptions may be refunded on a pro-rata basis within 30 days of purchase if you have not exceeded the free tier equivalent usage. To request a refund, contact billing@kairo.dev.

Overages. On the Pro plan, usage exceeding your monthly token limit is billed at the published overage rate. Enterprise plans include custom limits negotiated in your contract.

Your data is yours. You retain all ownership rights to the data, content, and intellectual property you upload, connect, or generate using the Services. You grant KAIRO a limited, non-exclusive license to process your data solely to provide the Services to you as described in our Privacy Policy.

KAIRO's platform is KAIRO's. The KAIRO platform, including its software, AI models, algorithms, visual design, documentation, and all related intellectual property, is owned by KAIRO Technologies, Inc. and protected by applicable copyright, trademark, and trade secret laws. These Terms do not grant you any rights in KAIRO's intellectual property beyond what is necessary to use the Services.

Feedback. If you provide feedback, suggestions, or ideas about the Services, you grant KAIRO an unrestricted, royalty-free right to use that feedback in any way without compensation or attribution.

The Services use AI models to generate content, make decisions, and take actions on your behalf. You acknowledge that AI outputs may be inaccurate, incomplete, biased, or otherwise unsuitable for certain purposes.

Your responsibility. You are solely responsible for any decisions, actions, or outcomes resulting from AI-generated content produced by the Services. KAIRO is not liable for losses, damages, or harm arising from reliance on AI outputs, including but not limited to financial decisions, medical advice, legal judgments, or safety-critical operations.

Prohibited outputs. You may not use the Services to generate content that is illegal, defamatory, discriminatory, or that infringes third-party intellectual property rights. You are responsible for ensuring AI outputs comply with applicable laws and regulations before use.

GDPR Data Processing Agreement. For customers who process personal data from EEA/UK data subjects, a Data Processing Agreement (DPA) is available upon request. Enterprise customers receive the DPA as part of their contract. To request a DPA, email legal@kairo.dev.

Data residency. Enterprise customers may request that their data be processed and stored in specific geographic regions (US, EU, or APAC). Data residency options require a minimum 12-month Enterprise contract. Residency settings are configured at account creation and cannot be changed retroactively.

Sub-processors. We maintain a current list of sub-processors on our Trust Center. We will notify you via email at least 30 days before adding a new sub-processor.

KAIRO commits to the following uptime targets, measured monthly on a rolling basis:

Credits are applied as account credits toward future invoices and must be requested within 30 days of the incident. Downtime caused by factors outside KAIRO's reasonable control (force majeure, third-party provider outages, customer-caused issues) is excluded from SLA calculations.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, KAIRO AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES.

KAIRO'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO KAIRO IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).

THE FOREGOING LIMITATIONS APPLY EVEN IF KAIRO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THESE LIMITATIONS MAY NOT APPLY TO YOU.

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the state and federal courts located in Delaware, USA, and you consent to personal jurisdiction in those courts.

Notwithstanding the foregoing, KAIRO may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.
